• (d) use the Website or any Content to develop, train, fine-tune, validate, benchmark, or otherwise support any artificial intelligence, machine learning, or automated decision-making system without FGI’s prior written consent;
• (e) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying technology of any portion of the Website, except to the extent such restriction is prohibited by applicable law; or
• (f) remove, alter, or obscure any copyright, trademark, proprietary, or other rights notices appearing on the Website or any Content.

Nothing contained on the Website or in these Terms shall be construed as granting, by implication, estoppel, or otherwise, any license or other right to use any copyright, trademark, service mark, trade name, trade dress, patent, trade secret, or other intellectual property of FGI or its licensors, except for the limited license expressly granted under these Terms. Any unauthorized use of the Website or the Content may violate applicable intellectual property and other laws and may result in civil or criminal penalties.

All rights not expressly granted in these Terms are reserved by FGI and its licensors.

5. Acceptable Use

You agree to use the Website only for lawful purposes and in accordance with these Terms. You shall not use the Website in any manner that could damage, disable, overburden, impair, or interfere with the operation, security, or availability of the Website or with any other person’s use of the Website.

Without limiting the foregoing, you shall not, directly or indirectly:

• (b) use the Website for any unlawful, fraudulent, deceptive, or unauthorized purpose;

• (h) attempt to probe, scan, test, or assess the vulnerability of the Website or any network or security system associated with the Website;
• (i) upload, submit, or transmit any content that is unlawful, defamatory, obscene, infringing, fraudulent, misleading, or otherwise objectionable, or that infringes or misappropriates the intellectual property or other rights of any third party;
• (j) impersonate any person or entity or misrepresent your identity, affiliation, or authority;
• (k) submit false, inaccurate, or misleading information through the Website, including in connection with any inquiry, registration, account, or request for information;
• (l) use the Website or its Content to compete unfairly with FGI or for any purpose that infringes or misappropriates FGI’s intellectual property or confidential information; or
• (m) encourage or assist any other person to engage in any conduct prohibited by these Terms.

FGI reserves the right, in its sole discretion and without prior notice, to suspend, restrict, or terminate your access to the Website if FGI reasonably believes that you have violated these Terms or engaged in conduct that may harm FGI, the Website, or other users. FGI also reserves the right to investigate suspected violations of these Terms and to cooperate with law enforcement or other governmental authorities as required or permitted by applicable law.

6. User Accounts and Customer Portal

Certain features of the Website may require you to register for and maintain a user account in order to access password-protected areas of the Website (the “Customer Portal”). Access to the Customer Portal is provided solely at FGI’s discretion and may be limited to approved customers, distributors, suppliers, or other authorized business partners.

If you create or are provided with an account, you agree to provide accurate, current, and complete registration information and to promptly update such information as necessary to keep it accurate. You are responsible for maintaining the confidentiality of your username, password, and any other login credentials, and you are solely responsible for all activities that occur under your account.

You agree to notify FGI immediately if you become aware of any unauthorized access to or use of your account, password, or other security breach. FGI shall not be liable for any loss or damage arising from your failure to safeguard your account credentials or otherwise comply with this Section.

You shall not share your account credentials with any unauthorized person, permit another individual to access the Customer Portal using your account, or attempt to access any account or information belonging to another user without authorization.

You are responsible for all activities occurring under your account, whether or not authorized by you, until you notify FGI of unauthorized use.

FGI reserves the right, at any time and in its sole discretion, to approve, deny, suspend, restrict, or terminate any account or access to the Customer Portal, with or without notice, including if FGI reasonably believes that: (a) you have violated these Terms; (b) your account has been compromised or is being used in an unauthorized manner; (c) continued access may jeopardize the security, integrity, or operation of the Website or Customer Portal; or (d) your business relationship with FGI has ended or otherwise changed in a manner that no longer supports continued access.

FGI may modify, suspend, discontinue, or change the functionality, features, content, or availability of the Customer Portal at any time without liability or obligation to continue providing any particular feature or level of access.

You are responsible for maintaining copies of any information or documents you submit to or download from the Customer Portal. FGI does not guarantee that any information, documents, or account history will remain available for any particular period of time.

7. User Submissions

The Website may permit you to submit, upload, transmit, or otherwise provide information, documents, artwork, logos, product specifications, technical drawings, designs, purchase orders, inquiries, feedback, comments, suggestions, or other materials to FGI (collectively, “Submissions”).

You represent and warrant that: (a) you own or otherwise possess all necessary rights, licenses, consents, and permissions to provide your Submissions to FGI; (b) your Submissions do not infringe, misappropriate, or otherwise violate the intellectual property, privacy, publicity, confidentiality, or other rights of any third party; and (c) your Submissions comply with these Terms and all applicable laws.

By providing any Submission, you grant FGI a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, store, transmit, modify, adapt, display, distribute, and otherwise process your Submissions solely as reasonably necessary to: (i) review and respond to your inquiry or request; (ii) prepare quotations or proposals; (iii) manufacture, source, test, package, market, deliver, or otherwise provide products or services requested by you; (iv) perform contractual obligations or other legitimate business operations; (v) comply with applicable law or legal process; or (vi) operate, maintain, improve, and secure the Website.

If you voluntarily provide FGI with comments, suggestions, ideas, recommendations, or other feedback regarding the Website or FGI’s products or services (“Feedback”), you acknowledge that FGI may use, disclose, reproduce, modify, and incorporate such Feedback into its business, products, or services without restriction or obligation to compensate you. However, nothing in this Section transfers ownership of your pre-existing intellectual property or limits the rights or obligations of either party under any separate written agreement.

Submissions are subject to Section 8 (Confidential Information) of these Terms. In the event of any conflict between this Section and a written agreement executed by FGI and you governing specific Submissions or confidential information, the written agreement shall control with respect to its subject matter.

FGI has no obligation to review, accept, retain, return, or respond to any Submission. FGI reserves the right, in its sole discretion, to remove, reject, or delete any Submission that it determines violates these Terms, infringes the rights of any person or entity, or is otherwise unlawful or inappropriate.

8. Confidential Information

The Website is intended to facilitate general business communications and is not designed for the transmission of confidential or proprietary information. Except as expressly provided in a written non-disclosure agreement or other written agreement executed by FGI and you, any information or materials submitted through the Website shall not be considered confidential or proprietary.

If you wish to disclose confidential, proprietary, or trade secret information to FGI, you should contact FGI directly so that the parties may determine whether an appropriate confidentiality agreement or other written agreement is necessary before such information is disclosed.

Nothing contained in these Terms modifies, limits, or supersedes the obligations of either party under any separate written non-disclosure agreement or other confidentiality agreement executed between FGI and you.

9. Product Information and Technical Content

FGI does not guarantee or warrant that any product descriptions, specifications, dimensions, tolerances, compatibility information, technical data, performance data, photographs, images, renderings, drawings, certifications, availability, pricing, or other product-related information is complete, accurate, current, or error-free.

Nothing contained on the Website shall be construed as creating any contractual relationship between you and FGI with respect to the purchase or sale of any products or services unless and until the parties enter into or otherwise exchange the applicable written commercial documentation governing the transaction.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FINISHED GOODS INTERNATIONAL LLC (“FGI”), ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, MANAGERS, MEMBERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF GOODWILL, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF USE, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE WEBSITE, ITS CONTENT, OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF FGI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FGI’S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00).

THE LIMITATIONS SET FORTH IN THIS SECTION APPLY TO ALL CAUSES OF ACTION, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR OTHERWISE.

NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY TO THE EXTENT SUCH EXCLUSION OR LIMITATION IS PROHIBITED BY APPLICABLE LAW.

THIS SECTION APPLIES ONLY TO CLAIMS ARISING FROM OR RELATING TO THE WEBSITE AND THESE TERMS. 14. Indemnification

You agree to defend, indemnify, and hold harmless Finished Goods International LLC (“FGI”), its affiliates, and their respective officers, directors, managers, members, employees, agents, contractors, licensors, service providers, successors, and assigns (collectively, the “FGI Indemnified Parties”) from and against any and all claims, demands, actions, proceedings, liabilities, damages, judgments, settlements, penalties, fines, losses, costs, and expenses (including reasonable attorneys’ fees, expert fees, and court costs) arising out of or relating to:

• (a) your access to or use of the Website;
• (b) your violation of these Terms;
• (c) your violation of any applicable law, rule, or regulation;
• (d) any Submission or Feedback you provide through the Website, including any allegation that such Submission or Feedback infringes, misappropriates, or otherwise violates the intellectual property, privacy, publicity, confidentiality, or other rights of any third party;
• (e) your misuse of the Website or its Content; or
• (f) your negligence, fraud, willful misconduct, or unauthorized acts or omissions in connection with your use of the Website.

FGI reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification under this Section. In such event, you agree to cooperate fully with FGI in the defense of such matter at your expense. You shall not settle any claim subject to this Section without FGI’s prior written consent if the settlement imposes any obligation on, or admits fault or liability on behalf of, any FGI Indemnified Party.

This Section applies only to claims arising from or relating to your use of the Website and does not modify, expand, or otherwise affect any indemnification obligations contained in a separate purchase order, sales agreement, master agreement, or other written commercial agreement between you and FGI applicable to a specific transaction.

15. Export Compliance

You agree to comply with all applicable United States and foreign export control, economic sanctions, customs, and import laws and regulations in connection with your access to and use of the Website and any products, technical information, software, documentation, or other materials obtained from or made available through the Website.

You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in any country or territory that is subject to comprehensive economic or trade sanctions administered by the United States, and that you are not identified on any United States government list of prohibited or restricted persons with whom U.S. persons are prohibited or restricted from conducting business.

You shall not use, export, re-export, transfer, release, disclose, or otherwise make available any products, technical information, documentation, or other materials obtained from the Website in violation of any applicable export control, sanctions, customs, or import laws or regulations.

Nothing in these Terms requires FGI to engage in any transaction or provide any information, product, or service where doing so would violate applicable export control, sanctions, customs, import, or other applicable laws or regulations. FGI reserves the right to refuse or terminate access to the Website or any portion thereof if FGI reasonably believes such access or use may violate applicable law.

16. Electronic Communications

By accessing or using the Website, submitting an inquiry, creating or using a user account, or otherwise communicating with FGI electronically, you consent to receive communications from FGI electronically, including by email, through the Website, or through the Customer Portal, where applicable.

You agree that all agreements, notices, disclosures, communications, and other information that FGI provides to you electronically satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by applicable law.

You are responsible for maintaining accurate and current contact information and for ensuring that you are able to receive electronic communications from FGI. FGI shall not be responsible for any delay or failure to receive electronic communications resulting from inaccurate contact information, your email or network provider, spam or security filters, technical failures, or other circumstances beyond FGI’s reasonable control.

Nothing in this Section alters any contractual notice requirements expressly set forth in a separate purchase order, sales agreement, master agreement, non-disclosure agreement, or other written agreement between you and FGI applicable to a specific transaction.

17. Changes to the Terms

FGI reserves the right to modify, revise, update, or replace these Terms at any time, in its sole discretion. Any changes will become effective upon posting the revised Terms on the Website, unless a different effective date is expressly stated.

Your continued access to or use of the Website after any revised Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue your use of the Website.

FGI may, but is not obligated to, provide notice of material changes to these Terms through the Website, by email, through the Customer Portal, or by other reasonable means. Your failure to receive or review such notice shall not affect the effectiveness or enforceability of the revised Terms.

The “Last Updated” date appearing at the top of these Terms indicates the date on which these Terms were most recently revised.

18. Termination

FGI reserves the right, in its sole discretion and without prior notice, to suspend, restrict, terminate, or otherwise deny your access to all or any portion of the Website at any time and for any reason, including if FGI reasonably believes that you have violated these Terms, applicable law, or engaged in conduct that may harm FGI, the Website, its users, or any third party.

You may discontinue your use of the Website at any time. Upon any termination or suspension of your access to the Website, your right to access and use the Website shall immediately cease.

Termination or suspension of your access to the Website shall not affect any rights, remedies, obligations, or liabilities that accrued prior to the effective date of such termination or suspension.

The provisions of these Terms that by their nature should survive termination, including without limitation those relating to Intellectual Property, User Submissions, Confidential Information, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Venue, Severability, and Entire Agreement, shall survive any termination or expiration of these Terms.

19. Governing Law and Venue

These Terms, your access to and use of the Website, and any dispute, claim, or controversy arising out of or relating to the Website or these Terms shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice of law or conflict of laws principles that would result in the application of the laws of any other jurisdiction.

You agree that any legal action or proceeding arising out of or relating to the Website or these Terms shall be brought exclusively in the state courts located in Los Angeles County, California, or, where federal jurisdiction exists, in the United States District Court for the Central District of California. You irrevocably consent to the personal jurisdiction of, and waive any objection to venue in, such courts, including any claim that such action or proceeding has been brought in an inconvenient forum.

Nothing in these Terms shall modify or supersede any governing law, venue, jurisdiction, arbitration, or dispute resolution provision contained in a separate purchase order, sales agreement, master agreement, non-disclosure agreement, or other written commercial agreement between you and FGI applicable to a specific transaction. In the event of a conflict, the applicable provision of such written agreement shall control with respect to the subject matter of that agreement.

20. Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions of these Terms shall remain in full force and effect.

To the extent permitted by applicable law, any invalid, illegal, or unenforceable provision shall be deemed modified and interpreted so as to most closely accomplish the original intent of the provision while remaining valid and enforceable. If such modification is not possible, the invalid, illegal, or unenforceable provision shall be deemed severed from these Terms without affecting the validity or enforceability of the remaining provisions.

21. Entire Agreement

These Terms, together with the Privacy Policy and any other policies or legal notices expressly incorporated herein by reference, constitute the entire agreement between you and FGI with respect to your access to and use of the Website and supersede all prior or contemporaneous understandings, agreements, representations, and communications, whether oral or written, relating to the Website.

Nothing in these Terms shall modify, supersede, or otherwise affect the terms of any separate purchase order, order confirmation, sales agreement, master agreement, non-disclosure agreement, or other written commercial agreement between you and FGI governing the purchase or sale of products or services or any other business relationship. In the event of a conflict between these Terms and any such written agreement with respect to the subject matter of that agreement, the applicable written agreement shall control.
